Dear Students,
In Nov. 2014 CA (Final) 'Corporate and Allied Laws'

Question Paper, Question No. 2(a) was based on
Sub-section (2) of section 161 of the Companies
Act, 2013, and it carried a weightage of 8 marks.

However, by issue of a Corrigendum on 28-08-2014,
ICAI had made an announcement that Sec. 161(2)
was not applicable for Nov. 2014 Exams, and the
corresponding section 313 of the Companies Act,
1956 was applicable for Nov. 2014 Exams. The link

Even before ICAI had made this announcement, I had
made this announcement in my amendment classes,
and I didn't include Sec. 161(2) in any of my books,
but continued to include section 313 of the
Companies Act, 1956 in all my books.
Clearly, question on Sec. 161(2) should not have
been asked, as it was announced to be not
applicable for exams.

I would request every student to raise this issue with
ICAI so that the students who have answered to this
question by mentioning the provisions of the
Companies Act, 1956 are not penalised.
Since I'm not an astrologer, I could not predict that
ICAI would ask the question on Sec. 161(2) of the
Companies Act, 2013. Still, people who blame me for
this, all I can say is: I FEEL PITY FOR THEM.
